1. Definitions and Acceptance

In this document:

  • "Company" or "T Mart" or "We": means Tuwaiq Mart Company For Telecommunications and IT.
  • "Platform": means the website tuwaiqmart.com and all associated pages, applications, and electronic services.
  • "User" or "You": any person who accesses, browses, registers on, or interacts with the Platform in any form.
  • "Seller": any legal or natural person registered on the Platform as a seller and legally licensed to conduct their business.
  • "Buyer": any registered user who uses the Platform to purchase or bid.
  • "Listing" or "Offer": any product, service, real estate, vehicle, license plate, or pet displayed on the Platform by a seller.

Your acceptance of these Terms: By accessing or using the Platform in any form, you acknowledge that:

  • You have read, understood, and fully accepted these Terms.
  • You are at least 18 years of age and have full legal capacity.
  • You will comply with the laws of the Kingdom of Saudi Arabia while using the Platform.

If you do not accept these Terms, you must immediately cease using the Platform.

2. Nature of the Platform (Express Legal Position)

T Mart is a multi-vendor, multi-category electronic Listing & Marketing Platform. We are not the sellers of the products and services displayed through the Platform (except in cases where it is expressly stated that the seller is "T Mart" directly).

Our Role:

  • We provide the electronic infrastructure that enables sellers to display their products and services.
  • We facilitate communication between sellers and buyers.
  • We facilitate the collection of payments and their transfer to sellers through approved gateways.
  • We provide advertising and marketing services on behalf of sellers.

What We Do Not Do:

  • We are not a party to the sales contract between the seller and the buyer.
  • We do not guarantee the quality of products, the accuracy of listings, or the integrity of sellers (we exercise due diligence, but ultimate responsibility lies with the seller).
  • We do not own the displayed products (except those expressly declared as ours).
  • We are not responsible for the regulatory licenses required for a seller's activity — each seller is responsible for obtaining and renewing their licenses (such as SFDA, MEWA, REGA, Ministry of Transport, etc.).

Our Contractual Relationship with Sellers:

Sellers are subject to the separate Vendor Agreement, which obligates them to:

  • Provide complete verification documents (Commercial Registration, VAT Number, ID, sub-licenses).
  • Ensure the accuracy and integrity of their listings.
  • Comply with competition and consumer protection laws.
  • Fulfill orders as advertised.
  • Bear full responsibility for their products and services.

3. Registration and Account

3.1 Account Creation

  • Registration requires providing accurate and up-to-date information.
  • Impersonating others or providing falsified information is strictly prohibited.
  • Registration is open only to those who have completed 18 full years of age.

3.2 Account Types

3.3 Account Security

  • You are responsible for the confidentiality of your login credentials (email and password).
  • Any activity on your account is attributed to you unless you immediately notify us of a potential breach.
  • It is recommended to use a strong password and enable two-factor authentication (when available).
  • Promptly report any breach to Support@Tuwaiqmart.com.

3.4 Account Suspension or Termination

T Mart has the right to suspend or terminate your account (temporarily or permanently) in the following cases:

  • Violation of these Terms or the Sales Terms.
  • Use of the Platform for unlawful purposes.
  • Attempted fraud or forgery.
  • Repeated complaints from buyers or other sellers.
  • Upon official request from a competent governmental authority.

In the event of termination, we retain your records for the periods stipulated in the Privacy Policy.

4. Prohibited Use

Users are prohibited from doing any of the following:

4.1 Legally Prohibited Activities

  • Using the Platform for any unlawful purpose under the laws of the Kingdom of Saudi Arabia.
  • Selling/buying prohibited products (drugs, unlicensed weapons, alcohol, products that infringe intellectual property rights, etc.).
  • Selling products or services that require a license without holding one (such as prescription medicines, financial products, insurance, etc.).

4.2 Fraudulent Activities

  • Impersonating another person or entity.
  • Submitting falsified data or documents.
  • Manipulating prices, ratings, or auction results.
  • Submitting false reports about products or sellers.

4.3 Harmful Technical Activities

  • Attempting to hack the Platform or bypass security measures.
  • Introducing viruses or malicious software.
  • Using bots or scrapers to collect data without authorization.
  • Attempting to disrupt the Platform's service (DDoS or similar).

4.4 Content-Related Activities

  • Publishing content that violates public morals or Islamic values.
  • Publishing offensive, defamatory, or racist content.
  • Publishing duplicate or repeated listings for misleading purposes.
  • Using images you do not own or do not have publishing rights to.

4.5 Activities Infringing Others' Rights

  • Violating the intellectual property rights of any party.
  • Disclosing the personal information of other users without their consent.
  • Sending unsolicited messages (spam) to Platform users.

Any violation exposes you to immediate suspension plus civil and criminal liability under the laws of the Kingdom, including the Anti-Cyber Crime Law, which penalizes certain violations with imprisonment of up to 10 years and substantial fines.

5. Intellectual Property Rights

5.1 Platform Ownership

  • All intellectual property rights in the Platform (logo, design, code, texts, databases, interfaces) are the exclusive property of T Mart or its licensors.
  • Copying, distributing, modifying, or using any of these without prior written permission is prohibited.

5.2 Seller Content

  • Sellers retain the rights to their content (product images, descriptions).
  • By publishing content on the Platform, the seller grants T Mart a non-exclusive, worldwide, royalty-free license to use, display, distribute, and promote this content for the purposes of operating the Platform and marketing listings.

5.3 User-Generated Content (UGC)

  • Reviews, comments, and images posted by users are subject to the same rule as in 5.2.
  • We reserve the right to remove any content that violates these Terms without prior notice.

5.4 Intellectual Property Infringement Reports

If you believe that content on the Platform infringes your rights, send a written report to Legal@Tuwaiqmart.com including:

  • The reporter's information and proof of ownership of the right.
  • A description of the infringing content and its location on the Platform.
  • An acknowledgment of the accuracy of the information under legal liability.

We will adjudicate the report within 15 business days and take appropriate action.

6. Seller Responsibilities (Mandatory Disclosures)

This section applies to sellers only. It is supplemented by the detailed Vendor Agreement.

Each seller acknowledges and warrants that:

  • They are the owner or authorized agent for selling the displayed product/service.
  • They hold all the regulatory licenses necessary to conduct their business, including but not limited to:
  • Pharmacy and health products: Saudi Food and Drug Authority (SFDA) license.
  • Live animal sales: Ministry of Environment, Water and Agriculture (MEWA) approval.
  • Real estate (brokers): Real Estate General Authority (REGA) license + a certified advertisement with a Licensed Advertisement (FAL).
  • Vehicles (showrooms): Vehicle trading activity license + Ministry of Transport approvals.
  • License plates: Compliance with the General Department of Traffic and transport procedures via Absher.
  • Food sales: Municipal license + compliance with health requirements.
  • The product matches the description and contains no hidden defects.
  • Prices are inclusive of Value Added Tax (15%) or it is expressly stated otherwise.
  • They comply with the return and exchange policy stipulated in the Sales Terms.
  • They bear full responsibility for any legal or regulatory violation arising from their listing or product.
  • They will indemnify T Mart against any damage, fine, or claim brought against the Platform due to their violation.

7. Advertising Content and Disclosures

  • We provide advertising services to sellers (paid ads, promotion, featuring).
  • Paid advertisements are marked with tags such as "Sponsored" or "Promoted".
  • We comply with the regulations of the Communications, Space and Technology Commission (CST) regarding electronic advertising.
  • Direct marketing (SMS, email, WhatsApp) is performed only with explicit opt-in, in accordance with Article 25 of the PDPL.

8. Data Privacy

  • The processing of your data is subject to the Privacy Policy published on the Platform, which is an integral part of these Terms.
  • By using the Platform, you acknowledge that you have read and accepted the Privacy Policy.

9. Cookies

  • The website uses essential cookies to operate its services.
  • A cookie banner is provided on your first visit to choose analytical and marketing cookies.
  • For full details, please review the Cookie Policy available on the Platform.

10. Disclaimer of Liability and Warranties

10.1 General Disclaimer

  • The Platform is provided "As Is" and "As Available" without any express or implied warranty (except as required by Saudi law).
  • We do not warrant that the Platform will operate continuously without interruption, be error-free, or be absolutely secure.
  • We do not warrant the accuracy of content posted by sellers or users.

10.2 Disclaimer Concerning Sellers

  • T Mart is not a seller and is not responsible for:
  • Product quality.
  • Accuracy of descriptions and images.
  • The seller's adherence to delivery dates.
  • Disputes between seller and buyer (we provide a mediation mechanism but are not a court).

10.3 Disclaimer for Regulated Sectors

  • Health and pharmaceutical products: we are a listing platform only; the seller is the licensee. Products are not a substitute for medical consultation. We do not market prescription drugs (Rx).
  • Real estate: information is presented by sellers/brokers; verify deeds and documents yourself before any transaction. The REGA-licensed broker is responsible for the listing.
  • Vehicles: the product is offered by the seller/showroom; verify the technical inspection and vehicle registration form yourself. The seller's warranty is limited to what they declare.
  • Live animal sales: subject to MEWA requirements. The seller is responsible for animal health and health documents.

11. Limitation of Liability

To the maximum extent permitted by Saudi law:

  • T Mart shall not bear any liability for any indirect, consequential, incidental, or special damages arising from use of the Platform (such as loss of profits, loss of data, loss of opportunity).
  • Our cumulative liability in any case shall not exceed:
  • (a) the amounts you actually paid to the Platform during the last 12 months, or
  • (b) the value of the order in dispute,
  • whichever is less.
  • This limit does not apply to liability that Saudi law does not permit to be limited (such as willful fraud or personal injury).

12. Indemnification

You undertake to indemnify T Mart, its officers, and employees against any losses, damages, claims, fines, or legal expenses arising from:

  • Your violation of these Terms.
  • Your unlawful use of the Platform.
  • Third-party claims due to content you have published.
  • Your violation of intellectual property rights.
  • As a seller, any harm caused to the buyer due to your product or misleading listing.

13. Force Majeure

We are not liable for any delay or failure to perform our obligations due to events beyond our control, including:

  • Natural disasters, wars, pandemics.
  • Widespread internet or power outages.
  • Government actions or official decisions.
  • Major cyberattacks despite taking appropriate measures.

14. Amendment of Terms

  • We reserve the right to amend these Terms at any time.
  • Material amendments will be notified to users via the registered email 30 days before they take effect.
  • Your continued use of the Platform after the effective date of the amendments is considered implicit acceptance.
  • If you do not agree to the amendments, you have the right to terminate your account.

15. Termination

  • Either party has the right to terminate the relationship at any time:
  • You: by closing your account from the settings or requesting closure via Support@Tuwaiqmart.com
  • Us: by notifying you of suspension in accordance with clause 3.4.
  • Termination does not waive financial and legal rights accrued before the termination date.

16. Governing Law and Jurisdiction

  • These Terms are governed by the laws of the Kingdom of Saudi Arabia.
  • Disputes shall be resolved amicably whenever possible.
  • If amicable resolution is not possible, the Saudi courts in the city of Riyadh shall have jurisdiction over disputes.
  • In disputes related to consumer protection, the consumer has the right to resort to:
  • The Ministry of Commerce's Balagh Tijari (Commercial Reporting) platform.
  • The Consumer Protection Authority.

17. Severability

If any clause of these Terms is found to be unlawful or unenforceable, the remaining clauses shall remain in full force and effect.

18. No Waiver

Our failure to exercise any right granted to us under these Terms shall not be considered a waiver of it.

  • Electronic notices are considered legally valid in accordance with the Saudi Electronic Transactions Law.

Terms and Conditions

Please read these Terms and Conditions carefully before using the services of T Mart Auction. Your use of the website constitutes your acceptance of, and commitment to, all that is stated herein.

1. Payment and Delivery

• The auction winner is obligated to pay the full amount due within the prescribed period.

• The buyer shall bear all costs related to transferring the vehicle or registering it with government agencies.

• The vehicle is delivered after payment is completed, as agreed between the parties.

2. Disclaimer of Liability

• Vehicles are offered for sale in their current condition without any warranties, and the buyer must conduct the necessary inspection before bidding.

• The website management bears no liability for any defects or issues that appear in the vehicle after receipt.

3. Violation of Terms

• The website management has the right to suspend or terminate any account if a violation of these Terms or misuse of the Platform is established.

• Any disputes shall be settled through the competent judicial authorities in accordance with the laws of the Kingdom of Saudi Arabia.

4. Amendments to the Terms

• The website management reserves the right to amend these Terms and Conditions whenever it deems appropriate, notifying users of material updates.

Terms and Conditions for Listing License Plates

In adherence to transparency and the smooth flow of procedures, every lister must comply with the following:

Plate Ownership:

The plate must be registered in the lister's name, and they bear full legal responsibility if proven otherwise.

Vehicle Regulatory Requirements:

• A valid vehicle registration form (Istimara).

• A valid periodic inspection.

• A valid insurance policy.

• The vehicle's record must be free of traffic violations and security circulars.

• No actual user of the plate or any authorization for its use.

Fees and Earnest Amount:

• License plate listing earnest fee: SAR 500.

• Instant listing fee: SAR 150.

• The instant listing fee guarantees the plate's display in the nearest auction; if seats are full, listing moves to the following auction.

* The instant listing fee is non-refundable once paid. *

Plate Listing Response Requirement:

The seller is obligated to respond with acceptance or rejection during the auction day. In case of non-response, the Platform has the right to automatically reject their offer.

Plate Transfer Period:

Plate transfer procedures must be initiated within 5 business days from the date of completing the sale. If this period is exceeded, procedures are halted and resume only with the consent of both parties.

Plate Delivery:

Both the lister and the buyer are obligated to deliver their plate to the approved shipping center on the specified date, with each party bearing the shipping fees of their plate.

Platform Commission:

• Above SAR 100,000: seller commission 1.5%, buyer commission 2.5% (subject to 15% VAT in addition).

• Less than SAR 100,000: SAR 300 for every SAR 15,000 or part thereof.

Example: SAR 15,000 ⇒ SAR 300 | SAR 30,000 ⇒ SAR 600 | SAR 45,000 ⇒ SAR 900.

• The lister is not entitled to the sale amount until the transfer of the plate to the buyer has been verified.

Terms and Conditions for Purchasing License Plates

To preserve the rights of all parties and ensure the smooth conduct of the sale, the buyer must comply with the following:

Down Payment:

When wishing to reserve the plate, a down payment of SAR 1,500 is paid. If the sale is completed, it is deducted from the total plate value, and it is non-refundable if the buyer withdraws after acceptance.

Ownership Transfer Period:

The buyer is obligated to start ownership transfer procedures within 5 business days from the date of sale. In case of delay or withdrawal without acceptable reason, the Platform reserves the right to forfeit the down payment.

Validity of Buyer's Information:

The buyer's information must be accurate and complete, and they bear full legal responsibility if proven otherwise.

Government Fees:

The buyer shall bear all government fees and expenses related to the transfer of ownership of their current plate and the purchased plate.

Plate Receipt and Delivery:

The buyer is obligated to receive the new plate from the shipping center or designated entity within the prescribed date, and is also obligated to deliver their current plate to the relevant authority in accordance with the official plate transfer procedures.

Buyer Commission: 2.5%

Auction Terms and Conditions

Auctions (License Plates and Other)

  • The Platform offers a bidding service on certain categories (such as vehicle license plates).

General Rules

  • Bidding is legally binding on the bidder. Withdrawing a bid after submission may expose you to liability and suspension.
  • T Mart has the right to cancel any fraudulent or non-serious bid.
  • Upon the conclusion of the auction, the winner is obligated to complete payment within the specified period (typically 48 hours).

Vehicle License Plates Specifically

  • Plate transfer is conducted via Absher.
  • Government transfer fees are borne by the buyer.
  • The seller guarantees that the plate is free of violations and transferable.
  • Delay in completing the transfer for regulatory reasons (such as violations against the seller) cancels the deal and refunds are made to the buyer.

Platform Fees and Commissions

  • We may charge a commission or auction fees — clearly disclosed before bidding.

Definitions:

The following are the meanings of the terms used in these Terms and Conditions:

"Company" / "We" / "Second Party": Tuwaiq Mart Company For Telecommunications and IT, owner of the T Mart application brand.

"T Mart Auction": an electronic platform for the public sale of vehicles, allowing users to bid through the website or application in accordance with these Terms, and is one of the services of the T Mart application in the Kingdom of Saudi Arabia.

"Auction": a public sale conducted by offering an item for sale through the electronic application of Tuwaiq Mart Company For Telecommunications and IT to those wishing to purchase it, awarded to whoever offers the highest price within a defined time period.

"Bidder" / "User": a natural person or legal entity wishing to participate in vehicle bidding through the website or application.

"Vehicle": refers to vehicles displayed on the T Mart platform for bidding by bidders.

"Vehicle Owner": the one who has the right to dispose of the vehicle by exploiting it, selling it, or otherwise disposing of it.

"Vehicle Listing Fees": the fees paid to list the vehicle in the auction.

"Auction Entry Deposit": the deposit paid to be able to bid on vehicles in the auction.

"Vehicle Ready for Ownership Transfer": a vehicle with a valid periodic inspection and registration form, with records free of bans, circulars, and violations, and free of any impediments that prevent ownership transfer.

These Terms and Conditions apply to every user of T Mart Auction services through the website or application, and apply to all terms with the same meaning.

The Contractual Relationship:

These Terms and Conditions represent a "legally binding" agreement between the Company and the User. This agreement and the usage policy regulate your use of T Mart Auction services through the web or application. The Terms and Conditions must be read carefully before use; if you do not agree to them, your registration will not be completed and you will not be able to enter the auction. By clicking "I acknowledge that I have read the Terms and Conditions and agree to them," you acknowledge your awareness of their content and your commitment to them.

The Company reserves the right to amend these Terms at any time, and the amendments take effect immediately upon publication without prior notice. Your continued use of the Platform after publication is considered an acceptance of the amended Terms.

Supplementary terms may apply to certain auctions or campaigns, disclosed when needed. In case of conflict, the supplementary terms shall prevail and become an integral part of this agreement.

The Website and Application / The User:

The T Mart platform is a digital network operating as an electronic intermediary between vehicle owners and bidders/buyers, enabling the user wishing to purchase products to bid on them.

Each bidder must create a user account that allows them to access the T Mart platform. The user's actions and decisions all express their independent will, and they must have full legal capacity.

User Information:

Using most T Mart platform services requires registering for and maintaining an active personal user account ("the Account"). You must be at least 18 years old to be eligible for an account. As a user, after activating your account, you undertake not to give it to any other user, and the Company will have the right to take legal action against you if it transpires that the user information provided is fictitious or does not match reality. As a user, you are also prohibited from using any natural or legal personality to bid on its behalf, and if it becomes clear to the auction administration that there is any manipulation in the bidder's identity, bank account, bidding card, or any fictitious/incorrect information provided to the auction administration by the bidder, it has the right to confiscate the auction entry deposit. You must also acknowledge that all the Terms and Conditions apply to you and that you are of full legal capacity, and you also acknowledge that the laws of the Kingdom of Saudi Arabia have permitted you to use this Platform and you do not violate any of them. Account registration requires providing some personal information to T Mart, such as your name, address, mobile phone number, gender, age, ID number, and the necessary permits required by the Second Party / Tuwaiq Mart Company For Telecommunications and IT to complete your registration and activate your bidder membership. You agree on your part to enter accurate, complete, and up-to-date information in your account. Entering inaccurate, incomplete, or outdated information may result in your inability to access and use the T Mart platform, or in the blocking or closing of your account on T Mart. You are responsible for all activities that take place in your account, and you agree to maintain the security and confidentiality of your username/bidder name and password at all times. You are not entitled to own more than one account unless T Mart permits otherwise.

You acknowledge that you have full legal capacity (in obligation and performance) free from any legal or regulatory deficiencies, and that the laws in force in the Kingdom of Saudi Arabia entitle you to own and purchase vehicles, and that there is no impediment preventing the completion of the purchase or transfer of ownership, including but not limited to: lack of capacity and suspension of services.

The Company may request additional data to prove identity or verify eligibility. Bidders residing within the Kingdom of Saudi Arabia — whose residency entitles them to engage in buying and selling — are required to provide the data requested by officials, such as employer and authorization to buy and sell. Refusal to provide proof of identity will result in the blocking of access to the Platform. In case of violation of the Terms and Conditions or any law in force in the Kingdom of Saudi Arabia, the Company has the right to take the following actions, including but not limited to:

1- Withdrawing the right of use, temporarily or permanently, immediately, with banning of the ID/Iqama number.

2- Obligating you to compensate the Company for all costs resulting from your violation, including administrative and legal costs, by way of example and not limitation.

Terms and Conditions for Using the Service:

The sale through T Mart Auction is a legitimate sale conditional on the realization of offer and acceptance. Listing the vehicle in the auction is merely an invitation to treat and is not considered an offer from the owner. The bid is an offer from the customer that remains pending until an explicit acceptance is issued by the owner; if the owner does not accept the price, the sale is not concluded.

The user acknowledges that the Company is an electronic intermediary between the goods owner and the bidder, with the role of organizing the auction exclusively, and is not the owner of any displayed goods. Accordingly, the Company bears no liability related to the goods, and the user has no right to recourse against it after the sale is completed in any matter related to the goods — including ownership transfer and the appearance of defects — and in all cases the maximum compensation does not exceed five hundred (500) Saudi Riyals.

All transactions are in Saudi Riyals, and the Platform bears no losses resulting from bank transfers. The bidder is not entitled to the vehicle merely upon being awarded the auction, as an explicit approval from the owner of the price is required; if they do not agree, the sale will not be concluded.

The user acknowledges that the Platform has provided them with the inspection that negates ignorance through reports and images issued by approved inspection centers. By the mere act of bidding, the user is deemed to have inspected the goods and accepted their condition, and withdrawal after award of the auction on the pretext of non-inspection is not accepted.

You must provide correct and accurate information, and you must adhere to any notices issued by the Company regarding the services it provides to ensure that any operational processes carried out by the Company are not disrupted.

The Company reserves the right to impose, amend, or cancel fees at any time without the need for the user's consent, and it has the right to amend service fees temporarily for promotional purposes or upon launching new services. The Company exercises its diligence to inform users of the applicable fees, however, the user is obligated to review the Terms and Conditions and follow any updates to them before using the services.

All offerings are sold in their current condition without any warranties from the Platform, as the Company bears no responsibility for the accuracy of information provided by the seller in the technical report or otherwise — including: meter reading, vehicle condition, ownership warranties, and year of manufacture — and the user is responsible for reviewing all data and information before bidding.

Seller Terms: Before the Auction:

If the vehicle is sound, its periodic inspection must be valid. A comprehensive inspection from a center approved by the Platform is also required. The sale process is subject to the seller's approval and may be cancelled after acceptance and before transfer of ownership.

The seller is obligated to pay inspection fees to the inspection center, which are refunded if the vehicle is sold. If the sale is not completed and the seller wishes to re-list, additional listing fees of SAR 150 will be charged for each new round.

The vehicle amount is transferred to the seller after ownership transfer within 7 business days. Failure to have a valid periodic inspection will affect ownership transfer procedures.

The vehicle is displayed in the auction after the request is received and verified.

The seller is obligated that the vehicle be free of any legal or traffic problems, including but not limited to: a ban on the vehicle | traffic violations | absence of damage to the vehicle's structure.

The seller is obligated not to use the vehicle from the time of registration until the sale is completed.

The seller is obligated to deliver the following documents: a copy of the owner's ID | a copy of the vehicle's registration form | the vehicle and its keys to our approved transport company.

• If the vehicle is (public transport), a deletion letter from the General Transport Authority is required.

After the End of the Auction:

The seller is obligated to deliver the vehicle to the approved showroom for ownership transfer.

The Platform contacts the seller after the end of the auction to take the decision of acceptance or rejection, and a response must be made within 24 hours. Upon acceptance, the buyer is granted a 3-day period for payment. If the buyer does not pay, the seller has no right to claim the down payment.

Vehicle ready for ownership transfer: the buyer is contacted to coordinate the ownership transfer within 3 business days.

Vehicle not ready for transfer: the Platform grants the buyer 15 days from the date of paying the vehicle's price for it to be transferred.

If the seller refuses the sale, they have the right to re-list the vehicle once without additional fees.

The final bid price is inclusive of VAT at the end of the auction in accordance with the Platform's policy, and the transfer mechanism varies according to the seller's status:

If the vehicle is owned by:

A seller not registered for VAT: the full amount is transferred without deduction.

A seller registered for VAT: the tax amount is deducted from the bid price before transfer, or the seller provides a tax registration certificate.

Buyer Terms:

1- Joining the Auction:

The user, as a natural individual, has the right to apply to join the auction, after fulfilling the General Terms and Conditions and the following requirements:

a- Fulfilling all the data required during registration and all subsequent requirements requested by the Company from the user.

b- Paying an auction entry deposit of SAR 1,500 per vehicle, refundable in case of not winning the auction.

c- Activating your account as a bidder and obtaining the bidding notification.

d- Upon proof of manipulation, the deposit amounts are confiscated without the right to claim them. Manipulation includes, but is not limited to: lack of seriousness in completing the purchase upon winning the auction, or delay in paying the remaining vehicle value within the specified period.

Conditions for the registration of non-Gulf nationals and legal entities:

If the vehicle is sound, no authorization is required, and a valid residency and a profession that authorizes the buying and selling of vehicles and vehicle wrecks must be present.

If the vehicle is damaged: a bidding and purchase authorization letter certified by the sponsor must be submitted, whether the sponsor is a natural or legal person. If the sponsor is a legal entity, a copy of the valid commercial registration and an authorization certified by the Chamber of Commerce must be submitted, and the activity of the legal entity must be related to the buying and selling of vehicles or vehicle wrecks.

The auction participant can raise the bid value on the vehicle or equipment offered for sale through the website, taking into account that their bid value must not be less than the minimum bid.

The deposit amount is refunded according to the approved registration data, and if payment was made through another party, the amount is returned to the original source. All refund operations are made via bank transfer.

Vehicle Inspection

The bidder acknowledges that the Platform has provided them with the opportunity to inspect the inspection report, and by the mere act of bidding, they are deemed to have inspected the report and accepted its condition, and withdrawal after the auction is awarded is not accepted. Upon proof of manipulation in the inspection report, the seller bears full legal responsibility.

The bidder discharges the Company of liability for any hidden defects appearing in the vehicle after the sale is completed, since it is only an intermediary and organizer of the auction, and the bidder has the right of recourse against the vehicle owner.

• Starting the Bidding

The bidder may follow the auction procedures themselves or through an authorized agent, and after bidding, withdrawal is not permitted. The sale is made based on the inspection of the inspection report and the condition of the vehicle, without any responsibility on the Company, legally or by Sharia, for any defect or problem that subsequently appears.

The auction time is automatically extended by an additional three minutes if a bid is made during the last three minutes, or at the discretion of management.

• After the End of the Auction

The award of the auction to the bidder is considered an offer to purchase only, and the sale is not concluded except after the acceptance of the vehicle owner. The Company shall solicit the seller's approval and notify the bidder within 3 days.

• In Case the Owner Refuses to Sell the Vehicle

The bidder is notified of the owner's rejection and has no claim regarding the vehicle.

In case the owner accepts the sale of the vehicle

After being notified of the auction award and the owner's acceptance of the sale of the vehicle, you will be obligated to pay the value of the vehicle's purchase invoice and all commissions and fees due to the Second Party, as detailed in the (Payment and Pricing) clause below.

Payment Mechanism After Auction Award

After the seller's approval of the sale, the buyer is obligated to pay 50% of the sale value immediately. In case of non-payment, the sale is cancelled, the down payment is forfeited, and the auction is re-listed.

The buyer is also obligated to pay the remaining amount within 3 days from the date of the seller's approval, and upon default, the Platform has the right to cancel the sale and take appropriate action in accordance with the applicable laws.

You must pay it from a bank account registered in your name in one of the Saudi banks while writing the reason for the transfer, for example: (vehicle purchase value, type, and plate number), and it is prohibited to deposit the amount in cash into the Company's account or with one of its employees.

• In Case of Non-Payment

If you fail to pay the value of the vehicle in addition to all fees and commissions due to the Company within a maximum period of three days from the date you were notified of the auction award, the Company will have the right to confiscate the auction entry fees and withdraw your bidding privilege for the future. In addition, your account will be blocked if management decides.

• In Case of Payment

You must transfer ownership of the vehicle and remove it from its location within 5 days.

• Vehicle Ownership Transfer

The bidder bears the responsibility for transferring vehicle ownership after the auction is awarded, including all government fees and costs such as registration, periodic inspection, and others. If ownership transfer is not possible due to a reason attributable to the seller, the bidder must contact auction management and submit supporting documents within 5 days from the date of payment.

• If the periodic inspection is valid, the vehicle is not released until its ownership has been transferred according to the period specified in the table above. The transfer of ownership for sound vehicles is done by the seller in coordination with T Mart.

The vehicle ownership transfer must be done in the name of the bidder or the company that authorized them to purchase. If it transpires to the Company that the bidder has transferred ownership of the vehicle in the name of someone other than the bidder concerned, the Company will rescind the sale and confiscate the auction entry fees.

• Receiving the Vehicle

The vehicle must be delivered to the approved transport company within 24 hours from the date of sale approval, while notifying the Platform of the completion of delivery and initiating ownership transfer.

When dropping plates to use the vehicle for spare parts (salvage), the bidder must bring a (printout) from the Traffic Authority.

Refund Request Procedure:

The bidder sends the refund request through the T Mart Auction application, and the deposit amount is returned to the original account within 5 business days from the date the request is sent. The bidder is notified of a reference number to follow up with their bank if the amount is not received within 25 days.

You cannot request a deposit refund if the vehicle status is:

• Awaiting sale approval

• Awaiting payment

• Awaiting ownership transfer

You can request a deposit refund if the vehicle status is:

• The sale of the vehicle has been rejected by the owner

• Vehicle ownership has been transferred

Ownership transfer fees of SAR 750 are paid with the vehicle's value, and the remaining government fees are SAR 150, making the total SAR 900.

The bid value in the application is considered exclusive of VAT for the vehicle.

Company cars take 10 business days for ownership transfer procedures.

• Indemnification

You acknowledge to indemnify the Company, its employees, directors, and related parties, immediately upon request, for all claims, losses, and costs, including legal fees, arising from any violation of these Terms or your use of the T Mart Auction Service.

• You as a bidder are not entitled to claim compensation for:

The vehicle if it transpires that there are any defects after you have received it. The claim is to be made against the owner or the inspection company in case of proof of manipulation in the reports.

The confiscation of the auction entry fees in the cases mentioned in the Service Use Terms.

• Special Provision for Salvage (Tashleeh) Cars:

The buyer acknowledges and agrees that participation in the auction for salvage cars is restricted only to those who hold a valid salvage license or a commercial registration whose activity is car salvage, and is obligated to present proof of this upon request.

The buyer is also obligated, in case of being awarded the auction, to receive the car within a maximum period of (3) days from the date of award. In case of non-compliance with the receipt within this period, the seller or the organizing entity has the right to cancel the sale and confiscate the down payment paid without any objection from the buyer.

The buyer also bears the auction commission of (2.5%) of the award value, and this commission is considered due and payable.

The buyer fully acknowledges that salvage cars are sold in their current condition (as is), without any warranties, whether mechanical, technical, or legal, and some cars may have incomplete parts such as (gearbox or engine) or the type or condition of the engine may not be accurately clarified, and the buyer bears full responsibility for inspection and examination before purchase.

• Legal Liability

You bear legal responsibility before the Company if you use the Platform's services in a way that violates the principle of good faith. You must also not be a competitor of the T Mart Platform or provide a similar product.

You will also be legally responsible to the Company if it transpires to it that you have purchased the vehicle fictitiously to transfer it to another person, or that you have supported any crime or criminal act, or covered it up. You will also be responsible for impersonating another personality due to your account being blocked.

You must also comply with all applicable laws and regulations within the Kingdom of Saudi Arabia.

The Company and its affiliates expressly bear no liability arising from unauthorized use of your user account, or any damages resulting from unlawful breach of the website by a third party. If you suspect that any unauthorized party may be using your user account or suspect any other security breach, you should agree to notify us of this immediately.

• Dispute Resolution

Any disputes or claims arising from these Terms or the use of the Platform shall be settled amicably first. If this is not possible within 60 days, it shall be adjudicated through the competent court in the Kingdom of Saudi Arabia. You undertake not to publish any complaints via social media, and the Company reserves the right to claim compensation for any negative content you publish.

• General Provisions

If any provision of these Terms is wholly or partially invalidated under any law, this shall not affect the validity of the remaining provisions in accordance with the principle of severability of texts. In general:

1- In case of technical malfunctions or unforeseen circumstances, the Platform has the right to suspend the website, extend the auction, cancel it, or postpone it without any liability.

2- In case of forgetting the password or wishing to change it, it can be handled directly through the website.

3- The Platform has the right to amend the auction terms and rules at any time without prior notice.

4- The user bears the responsibility of keeping their login data confidential, and no other person may be enabled to access them.

5- The Platform endeavors to inform subscribers of any malfunctions as soon as they occur, and the bidder has no right to claim compensation for any damage resulting therefrom.

6- The Platform has the right to specify, suspend, or terminate any service, prevent any user from accessing, and take what it deems appropriate, including cancelling inactive accounts without prior notice.

7- These Terms supersede all previous agreements and alone govern the relationship between the Platform and its users.

8- The Platform has the right to ban any person from participating in the auction or cancel their bids upon submission of incorrect data, violation of the Terms, or for any reason it deems appropriate.
